EXPERIENCES WITH THIRD-PARTY AFFILIATE SITES
Some of Expo Key LLC affiliates act as marketplaces to facilitate travelers’ ability to make reservations for hotels and cruisers and make reservations for tours, activities and attractions with third-party suppliers of such Experiences. As a user, you must be responsible for your use of the services (including the Expo Key LLC website) and any transaction involving, pre-paid hotel reservations, transportation, purchase of all-inclusive packages, or any travel-related services facilitated by Expo Key LLC ‘s affiliates.
If you book a reservation with a third-party supplier, then in addition to these terms and conditions, you agree to review and be bound by the supplier’s terms and conditions of purchase and website use, privacy policy, and any other rules or policies related to the supplier’s site or property. Your interactions with third-party suppliers are at your own risk. Expo Key LLC will have no liability concerning the acts, omissions, errors, representations, warranties, breaches or negligence of any third-party suppliers or for any personal injuries, death, property damage, or other damages or expenses resulting from your interactions with third-party suppliers.
The products and services offered on the Expo Key LLC website may link you to supplier websites or other websites that Expo Key LLC does not operate or control.
INTERNATIONAL TRAVEL
When you use our travel services, you are responsible for ensuring that you meet all foreign entry requirements and that your travel documents, including passports and visas, are in order.
For passport and visa requirements, please consult the relevant embassy or consulate for information. Because requirements may change at any time, be sure to check for up-to-date information before booking and departure. Expo Key LLC accepts no liability for travelers who are refused entry onto a flight or into any country because the travelers fail to carry the travel documents required by any airline, authority, or country, including countries the traveler may just be passing through on route to his or her destination.
It is also your responsibility to consult your physician for current recommendations on inoculations before you travel internationally and to ensure that you meet all health entry requirements and follow all medical guidance related to your trip.
Although most travel, including travel to international destinations, is completed without incident, travel to certain destinations may involve greater risk than others. Expo Key LLC urges travelers to investigate and review travel prohibitions, warnings, announcements and advisories issued by their governments and destination country governments before booking travel to international destinations.
THIRD-PARTY MATERIALS
“Third-Party Materials” means any content, images, videos, texts or other material that is owned by a third party, such as stock images, videos and texts. Such Third-Party Materials are subject to the applicable third-party terms and licenses and may only be used as permitted by such terms and licenses.
PROHIBITED ACTIVITIES
The content and information available on and through the Services (including, but not limited to, messages, data, information, text, music, sound, photos, graphics, video, maps, icons, software, code or other material), as well as the infrastructure used to provide such Content and information, is proprietary to Expo Key LLC or licensed to the Expo Key LLC by third parties. For all content other than your content, you agree not to otherwise modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell or re-sell any information, software, products, or services obtained from or through the Services. Additionally, you agree not to:
1- Use the services or content for any commercial purpose, outside the scope of those commercial purposes explicitly permitted under this agreement and related guidelines as made available by Expo Key LLC.
2- Access, monitor, reproduce, distribute, transmit, broadcast, display, sell, license, copy or otherwise exploit any Content of the website, manipulate or hack ticket and prize systems using any robot, spider, scraper or other automated means or any manual process for any purpose not by this Agreement or without our express wrote permission.
3- Violate the restrictions in any robot exclusion headers on the Services or bypass or circumvent other measures employed to prevent or limit access.
4- Take any action that imposes, or may impose, in our discretion, an unreasonable or disproportionately large load on our infrastructure.

7- Attempt to modify, translate, adapt, edit, decompile, disassemble, or reverse engineer any software programs used by Expo Key LLC.

(c) any injury; death; loss; claim; an act of God; accident; delay; or any direct, special, exemplary, punitive, indirect, incidental or consequential damages of any kind (including, without limitation, lost profits or lost savings), whether based in contract, tort, strict liability or otherwise, that arise out of or is in any way connected with: (i) any use of our website (ii) any failure or delay.
Some states or countries do not allow this limitation of liability, so the limitations above may not apply or apply only partially to you.

You may not attempt to override, disable, circumvent or otherwise interfere with any such security components and usage rules embedded into Expo Key LLC.
ELECTRONIC COMMUNICATIONS
No responsibility will be accepted by Expo Key LLC for failed, partial or garbled computer transmissions, for any computer, telephone, cable, network, electronic or Internet hardware or software malfunctions, failures, connections, availability, for the acts or omissions of any service provider, internet accessibility or availability or traffic congestion or unauthorized human act, including any errors or mistakes.
INDEMNIFICATION
You agree to defend and indemnify Expo Key LLC and any of their directors, employees and agents from and against any claims, causes of action, demands, recoveries, losses, damages, fines, penalties or other costs or expenses of any kind or nature including but not limited to reasonable legal and accounting fees, brought by third parties as a result of:
(i) Your breach of this Agreement or the documents referenced herein.
(ii) Your violation of any law or the rights of a third party.
(iii) Your use on the Expo Key LLC website.
CHANGES AND TERMINATION
We may change the website and these Terms at any time, at our sole discretion and without notice to you. You are responsible for remaining knowledgeable about these Terms. Your continued use of the website and services your acceptance of any changes to these Terms and any changes will supersede all previous versions of the Terms. Unless otherwise specified herein, all changes to these Terms apply to all users take effect. Furthermore, we may terminate this agreement with you under these Terms at any time by notifying you in writing (including by email) or without any notice.
INTEGRATION CLAUSE
This Agreement together with the Privacy Policy and any other legal notices published by Expo Key LLC shall constitute the entire agreement between you and Expo Key LLC concerning and governs your use of the website.

ASSIGNMENT
This Agreement and any rights and licenses granted hereunder, may not be transferred or assigned by you but may be assigned by Expo Key LLC without restriction.
DISPUTES
You agree that any dispute, claim or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation or validity thereof or the use of the Expo Key LLC website, will be settled by binding arbitration between you and Expo Key LLC, except that each party retains the right to bring an individual action in small claims court and the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation or violation of a party’s copyrights, trademarks, trade secrets, patents or other intellectual property rights. You acknowledge and agree that you and Expo Key LLC are each waiving the right to a trial by jury or to participate as a plaintiff or class in any purported class action or representative proceeding. Further, unless both you and Expo Key LLC otherwise agree in writing, the arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of any class or representative proceeding.

Our failure to act with respect to a breach by you or others does not waive our right to act with respect to subsequent or similar breaches. These terms set forth the entire understanding and agreement between us with respect to the subject matter therein.

I certify that I am the authorized user of the credit card provided herein and I will not dispute, so long as the scheduled transactions conform to payment terms contained in this authorization Expo Key LLC (“Expo Key”) is a is a privately-owned company, not affiliated with any event or other organization, will be providing you and/or your business with hotel accommodation reservation and booking services. (“Expo Key”) commences work on your behalf immediately upon signing this contract, by negotiating, arranging, and confirming your reservations, any balance, including new amounts due resulting from your changes to your reservation will be charged 30 days prior to check in date, or upon a separate written agreement signed by (“Expo Key”), whichever occurs first. Failure collection of the balance after payment deadline date may result of reservations cancellations and cancellations fees will apply, (“Expo Key”) will spend its best efforts to contact the client prior to payment deadline date to ensure securing the reservations You hereby
authorize (“Expo Key”) to charge the listed credit card as many times as needed to satisfy any balance due. You acknowledge that except as provided below with respect to tax obligations on the amounts we retain for our services, Expo Key LLC (“Expo Key”) do not collect taxes for remittance to applicable taxing authorities. The tax recovery charges on prepaid hotel transactions are a recovery of the
estimated taxes (e.g., sales and use, occupancy, room tax, excise tax, value added tax, etc.) that Expo Key LLC (“Expo Key”) Companies pay to the hotel supplier for taxes due on the hotel’s rental rate for the room. The hotel suppliers’ invoice Expo Key LLC (“Expo Key”) (Companies for certain charges, including tax amounts. The hotel suppliers are responsible for remitting applicable taxes to the applicable
taxing jurisdictions. None of the Expo Key LLC (“Expo Key”) Companies act as co-vendors with the supplier with whom we book or reserve our customer’s travel arrangements. Taxability and the appropriate tax rate vary greatly by location. The actual tax amounts paid by the Venue Housing Services (“Expo Key”) Companies to the hotel suppliers may vary from the tax recovery charge amounts, depending upon the rates,
taxability, etc. in effect at the time of the actual use of the hotel by our customers. We retain service fees as additional compensation in servicing your travel reservation. Service Company Companies for their services vary based on the amount and type of hotel reservation.
*Excluding taxes and fees, which are payable in addition.
Reservation Cancellation and Modification Policy: You will be emailed confirmation of your reservation (via an invoice and itinerary) within 72 hours of signing this Contract. You are responsible for checking the accuracy of these documents, and for reporting any errors, limited to errors made by (“Expo Key LLC”) in transcribing information provided by you in this contract or in the Hotel Reservation Guest Name List, to
(“Expo Key LLC”) within 24 hours of receipt. If no such errors are reported, the information is deemed complete and accurate. Modifications or partial cancellations can be requested after the 24-hour period, and (“Expo Key LLC”) will use its best efforts to accomplish those requests, but (“Expo Key LLC”) does not guarantee that such modifications or partial cancellations can be made, or that they can be made at the original contract rate. If any reservation is modified or partially cancelled prior to 30 days before the check-in date, no fee will be assessed therefor, but each modification or partial cancellation made 30 days or closer to check- in will incur a charge equal to your Contract price of one night’s accommodation, plus any additional taxes, fees and/or costs incurred by (“Expo Key LLC”) as a result of the modification If the entire reservation is cancelled, you will be charged a cancellation fee equal to 30 % of your total Contract price. This fee is not a penalty but is a liquidated damage to compensate (“Expo Key LLC”) for services performed on your behalf and agreed would be difficult to (“Expo Key LLC”) reserves the right to waive this cancellation fee at any time at its sole discretion on a case-by-case basis by providing a travel booking credit equivalent to the cancellation fee amount to be used through (“Expo Key LLC”) valid for 180 days from issuance date, incase booking 9+ rooms this will be considered group reservations and different cancellation policy may apply. All changes and cancellation requests must be sent in writing Via E Mail: No cancellations whatsoever will be accepted after seven calendar days prior to the check-in date and (“Expo Key LLC”) provides no credit or refund for no-shows or early check-outs
FINAL PROVISIONS
These Terms are governed by the law of the State of Delaware, United States of America. Use of our website is unauthorized in any jurisdiction that does not give effect to all provisions of these Terms, including, without limitation, this paragraph.
Our performance of these Terms is subject to existing laws and legal process, and nothing contained in these Terms limits our right to comply with law enforcement or other governmental or legal requests or requirements relating to your use of our website, participation in competitions or information provided to or gathered by us with respect to such use.
If any part of these Terms is found to be invalid, illegal or unenforceable, the validity, legality and enforceability of the remaining provisions will not in any way be affected or impaired. Our failure or delay in enforcing any provision of these Terms at any time does not waive our right to enforce the same or any other provision(s) hereof in the future.
